1. Acceptance of Terms
By accessing and using the CPHQ Prep Portal (the "Portal"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by the above, please do not use this service. Your use of the Portal constitutes your acceptance of these Terms of Use and our Privacy Policy.
2. License to Use
The CPHQ Prep Portal grants you a limited, non-exclusive, revocable license to access and use the Portal for your personal, non-commercial study and examination preparation purposes only. You may not:
- Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, content, or materials obtained from the Portal
- Reverse engineer, decompile, or attempt to discover the underlying code or algorithms of the Portal
- Share, redistribute, or provide access to study materials, practice questions, flashcards, or other proprietary content with unauthorized third parties
- Use the Portal for any commercial purpose or to develop competing study platforms
3. Educational Purpose and Use Limitations
The CPHQ Prep Portal is designed for educational and informational purposes to help users prepare effectively and efficiently for the CPHQ examination. The Portal is intended as a supplementary study tool and guide. Your use of the Portal is subject to the following limitations:
- The Portal provides study materials, practice questions, and learning resources to support your examination preparation
- You are solely responsible for your study schedule, learning pace, and examination readiness
- The Portal is for individual use only; you may not permit others to use your account or access materials on your behalf
4. NO GUARANTEE OF EXAM PASS
THE CPHQ PREP PORTAL MAKES NO GUARANTEE, REPRESENTATION, OR WARRANTY THAT USE OF THE PORTAL WILL RESULT IN YOU PASSING THE CPHQ EXAMINATION OR ACHIEVING ANY SPECIFIC EXAMINATION SCORE.
Examination success depends on many factors beyond the scope of the Portal, including:
- Your individual effort, study discipline, and engagement with materials
- Your prior knowledge, professional experience, and educational background
- Your test-taking abilities, time management, and stress management under examination conditions
- The specific examination content, format, and difficulty as determined by the certification body
- Your personal circumstances, health, and readiness on examination day
You acknowledge that examination outcomes are NOT guaranteed and are your sole responsibility.
5. User Responsibilities
You agree to use the Portal responsibly and in accordance with all applicable laws and regulations. You agree to:
- Use the Platform only for lawful purposes and in a way that does not infringe upon the rights of others or restrict their use and enjoyment
- Not engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Platform
- Not attempt to gain unauthorized access to any portion of the Platform, other accounts, or computer systems
- Not upload, transmit, or distribute viruses, malware, or any other malicious code
- Maintain the confidentiality of your account credentials and notify us immediately of any unauthorized use
- Not engage in harassment, intimidation, or abusive behavior toward other users or staff
6. Release, Waiver, and Discharge of Liability
YOU HEREBY RELEASE, WAIVE, AND DISCHARGE THE CPHQ PREP PORTAL, ITS OWNER, OPERATORS, EMPLOYEES, AGENTS, AND PARTNERS FROM ANY AND ALL LIABILITY, CLAIMS, DEMANDS, AND CAUSES OF ACTION ARISING OUT OF OR RELATED TO YOUR USE OF THE PORTAL, YOUR EXAMINATION PREPARATION, AND YOUR EXAMINATION OUTCOMES.
This includes, but is not limited to, liability for:
- Failure to pass the CPHQ examination
- Unsatisfactory examination scores or performance
- Incorrect, incomplete, or outdated study materials
- Technical issues, platform downtime, or data loss
- Any indirect, consequential, or economic damages
- Delays or interruptions in access to the Portal
By using the Portal, you accept full responsibility for your examination outcomes.
7. Disclaimer of Warranties
THE PORTAL IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT OF THIRD-PARTY RIGHTS
- ACCURACY, COMPLETENESS, OR RELIABILITY OF CONTENT
- UNINTERRUPTED OR ERROR-FREE ACCESS
We do not guarantee that the Portal will be error-free, uninterrupted, or that all defects will be corrected. We are not responsible for any harm or damage caused by viruses, malware, or other harmful code transmitted through the Portal.
8. Limitation of Liability
IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CAUSE OF ACTION SHALL NOT EXCEED THE AMOUNT YOU PAID (IF ANY) TO ACCESS THE PORTAL IN THE TWELVE MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so this limitation may not apply to you.
9. Intellectual Property Rights
The Portal, including all content, materials, text, graphics, images, videos, study questions, and other intellectual property contained therein, is owned by or licensed to us. You may not:
- Reproduce, redistribute, or republish any materials without express written permission
- Remove, obscure, or alter any copyright, trademark, or proprietary notices
- Use any materials for commercial purposes or in any way that competes with our services
10. Unauthorized Sharing and Content Redistribution
You may NOT:
- Share, redistribute, or provide Portal access or materials to any unauthorized third parties
- Publish, post, or upload study materials, practice questions, or flashcards to public or private forums, social media, or other platforms
- Permit your family members, friends, colleagues, or other individuals to use your account
- Create derivative works, study guides, or educational materials based on Portal content
- Sell, trade, or exchange access to the Portal or any of its materials
Unauthorized sharing or redistribution is a violation of these Terms and may result in immediate account termination and legal action.
11. Account Termination
We reserve the right to suspend, deactivate, or terminate your account and access to the Portal at any time, for any reason, without notice. Reasons for termination may include, but are not limited to: violation of these Terms, unauthorized sharing of materials, engagement in illegal activity, or abuse of the platform. Upon termination, your right to use the Portal immediately ceases, and you must discontinue all access.
12. Modifications to Terms
We reserve the right to modify these Terms of Use at any time. We will notify you of significant changes by posting the updated Terms on the Portal and updating the Effective Date. Your continued use of the Portal following the posting of revised Terms means you accept and agree to the changes. If you do not agree with any modification, you must discontinue use of the Portal immediately.
13. Governing Law and Jurisdiction
These Terms of Use are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Texas for resolution of any disputes arising from your use of the Portal.
14. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.
15. Entire Agreement
These Terms of Use, together with our Privacy Policy, constitute the entire agreement between you and the CPHQ Prep Portal regarding your use of the Portal and supersede all prior negotiations, representations, and understandings.
